Abstract: The article tackles legal opinions and negative assurance letters on intellectual property (IP) matters given to underwriters at the closing of an initial public offering. Topics discussed include role of IP lawyers in establishing due diligence defense of underwriters against liability under the Securities Act of 1933, knowledge-based confirmations as they relate to IP, negative assurance letters to help underwriters establish due diligence defense, and opinions of IP Counsel covering IP law.
